MB Coaching Agreement

THIS COACHING AGREEMENT (this “Agreement”) is entered into on the date you check the “I have read and agree” checkbox (the “Effective Date”), by and between Success Training Co., LLC dba Stéph & Shay (hereinafter “Company”) and you (hereinafter “Attendee”) and sets out the conditions and understandings for a coaching relationship. If you have objections to the following Coaching Agreement or Standard Legal Notices and Conditions, you should not register for or attend Mindpower Breakthrough™.

Company and Attendee hereby agree:

Coaching Schedule: Mindpower Breakthrough™
1. 3-day coaching program
Coaching Plan: Company has designed the following coaching plan for Attendee:
1. Attendee agrees to attend all 3 days.
2. Attendee agrees to complete all Mindpower Exercises.
3. Attendee agrees to attend each of the Mini Tribe Huddles.
Roles: Company agrees to facilitate, and Attendee agrees to follow the coaching plan.
Preparation: Company agrees that the appropriate amount of time will be spent in preparation for meetings with Attendee.
Responsibility: Attendee understands that the results of any coaching will depend on their ability to take action, to follow the coaching plan to the best of their abilities, to communicate clearly with Company and their individual Coach, and to take responsibility for the results achieved. Company can only facilitate. The responsibility for making the processes work is Attendee's alone as no one else can do them for him/her.
Open Communication: Attendee agrees to share with Company all issues on which Attendee needs assistance. Attendee agrees that issues not shared with Company may not be resolved or may impede the successful achievement of their goals and objectives. Company agrees to use best efforts to assist Attendee to resolve issues shared with Company.
Full Confidentiality: Company and its Coaches agree to full confidentiality.
Challenges & Homework: Attendee agrees that Company may assign challenges/homework to be done in between coaching sessions, and that Attendee will give their best effort to fulfill these challenges. Attendee agrees that if challenges are not done the outcome of the coaching can’t be predicted.
1. There will be an initial challenge given immediately upon the signing of this Agreement. This challenge is required to be completed at 100% in order for Attendee to begin the coaching process. Attendee understands that the official coaching will not begin until this challenge is complete.
Legal Disclaimers: The information and descriptions presented in this coaching program and in Company newsletters and websites are intended for adults, age 18 and over, and are solely for informational and educational purposes. Attendee understands that neither Company nor its Coaches give psychological, medical, legal or financial advice. Before beginning any new personal development routine or business, or if Attendee has specific psychological, medical or legal concerns, a medical, financial, legal, or other professional should be consulted.
1. Neither Company nor its Coaches are licensed Psychologists, Psychiatrists, Therapists, Marriage and Family Therapists (MFTs), Masters of Social Work (MSWs), Medical Doctors (MDs), Attorneys, Certified Public Accountants (CPAs), or Financial Advisors. The services Attendee receives are not licensed for these matters, nor are they regulated by a governmental body. Company will always provide only those services in which our team has been trained, and if we find that we cannot help you, we will refer you to a licensed person who can assist you.
2. Any reproduction, republication, or other distribution of Company’s work, including, without limitation, the duplication, copying, scanning, uploading, and making available via the internet or any other means, without the express permission of Company is illegal and punishable by law, and the knowing acquisition of an unauthorized reproduction of Company’s work may subject the acquirer to liability. Please purchase only authorized electronic or print editions of Company’s materials and do not participate in or encourage electronic piracy of copyrighted materials. Attendee’s support of Company’s rights is appreciated.
3. Coaching materials are geared toward providing exact and reliable information with regards to the topic and subject matter covered. The information provided within the program is stated to be truthful and consistent, in that any liability, in terms of inattention or otherwise, by any usage or abuse of any policies, processes, or directions contained within is the solitary and utter responsibility of Attendee. Under no circumstances will any legal responsibility or blame be held against Company or its Coaches for any reparation, damages, or monetary loss due to the information within the program, either directly or indirectly.
4. Company owns all copyrights and trademarks within this program.
Photo/Video Release: Attendee acknowledges that Company may take photographs and/or videos during events, including but not limited to meetings and Company sponsored events. In addition, Attendee acknowledges that Company uses video conferencing services for remote meetings. Attendee hereby authorizes Company to record Attendee’s image and voice and use Attendee’s photograph/video in publications or other media material produced, used or contracted by Company including but not limited to: social media, brochures, invitations, books, newspapers, magazines, television, websites, etc.

Physical Challenge Release: Attendee hereby:

1. Acknowledges that Mindpower Breakthrough™ includes a board break exercise, during which Attendee will break a 12” x 12” x ½” pine board.
2. Has been informed and understands that their participation in the aforementioned activity may expose him/her to certain foreseeable and unforeseeable risks of damage and/or bodily injury, including serious bodily injury, where he/she may need to be hospitalized. Attendee knowingly, freely and voluntarily assumes all risks and engages him/herself in the participation of the above-mentioned activity.
3. Hereby releases Company, its Coaches, its subcontractors, its agents, its clients, servants, trustees, affiliates, related entities, officers, directors, and employees from any and all liability arising out of Attendee’s participation in the above-mentioned activity and hereby waive their rights herein to assert any claim(s) for damages, bodily injury or serious bodily injury to the fullest extend allowed by law.
4. Agrees that he/she will hold Company, its Coaches, its subcontractors, its agents, its clients, servants, trustees, affiliates, related entities, officers, directors, and employees harmless against any and all claim(s) for damages, bodily injury or serious bodily injury arising out of or in connection of Attendee’s participation in the above-mentioned activity whether caused by negligence or otherwise.

Satisfaction Guarantee: As stated on our site and in our marketing materials, we guarantee that Attendees will be 100% satisfied with the program should they attend and participate in the program. Satisfaction is defined as the Attendee’s belief that we have delivered on what we have promised in promoting the program. If any Attendee is not satisfied with the program by lunch on the second day and notifies us by emailing Hello@StephAndShay.com by 1 PM Eastern, we will refund their tuition to the program. There are pre-experience preparation materials, challenges, and Mindpower Exercises to complete during the learning experience. At least the first day of Mindpower Exercises will need to be completed and sent in to prove participation and qualify for your refund. Any reimbursements will be processed within 30 days of receiving the returned program materials sent prior to the program. Any statements of dissatisfaction or requests for refunds received after lunch on the second day will not qualify for this guarantee. Note: A guarantee represents a promise about the quality of services delivered; if an attendee never experienced the service (i.e. never attends the program), the guarantee obviously does not apply.

Coaching Fees: The amount that was agreed upon with a member of the Stéph & Shay Dream Team.

Coaching Term: This Agreement starts on Effective Date and will continue through the agreed upon coaching period.
